Terms & Conditions
These terms govern the services we supply. They sit alongside your written proposal, which takes priority where the two differ. Last updated August 2026.
1. Who we are
These terms apply to services supplied by L Derbyshire Holdings Ltd (“we”, “us”), a company registered in England & Wales under company number 15566564, whose registered office is 5 Canon Court, Institute Street, Bolton, England, BL1 1PZ. You can reach us at help@lderbyshireholdings.ltd.
We supply our services to businesses only. By ordering, you confirm you are acting for purposes relating to your trade, business, craft or profession, so consumer cancellation rights do not apply.
2. Quotes, orders and the contract
Prices shown on this website are indicative “from” prices for guidance only and are not an offer. A binding contract is formed when you accept a written proposal or order confirmation from us.
Proposals are valid for 30 days unless stated otherwise.
3. Project work (websites, automation, consultancy)
Project work is delivered against the scope in the accepted proposal. All project fees are payable in advance unless we agree otherwise in writing before work begins.
Work outside the agreed scope is quoted separately. Timelines assume you provide content, access and feedback within a reasonable period.
4. Subscriptions (managed websites, Microsoft 365 & IT management)
Monthly subscriptions are billed in advance and run month to month unless a minimum term is stated in your proposal. Either party may cancel with 30 days written notice, taking effect at the end of the paid period.
Third-party licences, domains and hosting are recharged at cost or as quoted, and remain subject to the relevant vendor's own terms.
5. Support and response targets
Support hours are 09:00–17:00 UK time, Monday to Friday, excluding public holidays. We target a response within one working day. Response targets are commitments to respond, not guarantees of resolution time.
6. Your responsibilities
You confirm that you own or are licensed to use all content, data and materials you supply, that your use of our services complies with applicable law, and that you keep your own credentials secure.
You remain responsible for your business records and for approving anything published on your behalf.
7. Payment terms and VAT
All project and subscription fees are payable in advance unless otherwise agreed in writing before the invoice date. Invoices are payable within 14 days unless stated otherwise. We may suspend services for accounts more than 30 days overdue and may charge statutory interest on late payment.
We are not currently registered for VAT and therefore do not charge VAT on our services. If our VAT status changes in the future, we will notify you and any invoices will reflect the position at that time.
8. Intellectual property
On full payment, you own the bespoke deliverables we create for you. We retain ownership of our pre-existing tools, templates, scripts and know-how, and grant you a perpetual licence to use them as part of your deliverables.
9. Confidentiality and data protection
Each party keeps the other's confidential information private. Where we process personal data on your behalf we do so under your instructions and in line with UK GDPR. See our privacy notice for details.
10. Liability
We do not exclude liability for death, personal injury caused by negligence, or fraud. Otherwise our total liability in connection with a contract is limited to the fees paid by you under that contract in the preceding 12 months.
We are not liable for indirect or consequential loss, loss of profit, loss of data caused by third-party platforms, or failures of services outside our control.
11. Termination
Either party may terminate for material breach that is not remedied within 14 days of written notice. On termination you pay for work completed and any committed third-party costs. We will hand over data and access we hold on your behalf.
12. Governing law
These terms are governed by the laws of England & Wales and the courts of England & Wales have exclusive jurisdiction.
